Shareholders

 The shareholders meet at least once a year to discuss the Annual Report and to adopt the Annual Accounts. Among the subjects that fall under the authority of the general meeting of shareholders are discharging directors in respect of the management and supervision, the appointment of a supervisory director, the remuneration policy of the Management Board, appointing the external auditor, amending the articles of association and dissolving the company. Meetings are convened by the Management Board or the Supervisory Board. With due regard to the restrictions provided in law and in the articles of association, shareholders and holders of depository receipts of share may also convene meetings or cause meetings to be convened and/or have subjects entered on the agenda. Shareholders may be represented by proxy in the meeting. The right of access of the shareholder (or his proxy) to the meeting (and the number of votes to be cast) is determined based on the shareholding on the published record date.
